Please make yourselves aware of the information below, before deciding to become a UKDropshipgroup Trade Customer, as these are the full Terms and Conditions of Membership, Website Membership and Website purchase. Customers are agreeing to the following Terms and Conditions before the service has commenced. The following terms and conditions are in full accordance with the United Kingdom Distance Selling Regulations.
Services and Conditions of Use
As part of our service, we agree to provide you with information and other services that we may decide to offer, subject to the terms of this agreement. Upon notice published through the service, we may modify this agreement at any time. You agree and continue to agree to use our services in a manner consistent with all applicable laws and regulations and in accordance with the terms and conditions set out in the policies and guidelines outlined below. Please note that you will be referred to as 'customer' in this agreement.
All customers agree to use the UKDropshipgroup service purely for Dropshipping purposes, and not to use us as a supplier for their own Dropship service. Such actions will result in immediate suspension of membership. Please also be aware, that although we sell our stock at trade prices, we are not a wholesale supplier, and do not supply goods on this basis.
Customers are also agreeing that by using our dropshipping service, we are providing you, the customer with our products and services and such products and services will not be presented to any third-party associated with any transaction entered into. Any payment merchant used for transaction payments, including but not limited to Paypal are used entirely at the customer's risk. UKDropshipGroup do not condone, nor accept responsibility for any merchant activity associated with your UKDropshipGroup membership/service. Customers are agreeing that any Paypal payment, and products associated with any such transaction will be delivered to the Paypal account owner's delivery address unless declared otherwise by the Paypal owner responsible for the transaction.
The service of Membership/website/hosting purchase will start immediately up on payment any website fee/joining fee, and customers are agreeing to this when joining. No refund will be given if a member decides to cancel membership at anytime. Written confirmation of these terms and conditions can be sent to you by post within 7 working days, if requested. This rule is in full accordance with the United Kingdom Distance Selling Regulations.
Please also note, that UKDropshipGroup will only supply our products on a trade-only basis, and we do not supply products on a retail basis. If you, the customer decides to join UKDropshipGroup, then it is your own responsibility to declare yourself as a trader; if and when you need to do so. Product examples, as seen on our website are also subject to change.
Membership prices, and all website confidential information, or any communications between UKDropshipGroup and the customer/member must NOT be displayed outside of the UKDropshipGroup website, and any members found doing so will have their membership terminated without warning. Such actions may also result in direct legal action being taken against the offending person/s for breach of copyright, and confidentiality. The terms of service agreement is between the customer and UKDropshipGroup, and must not be offered or presented to any third-party or any public domain. Such actions will result in cancellation of membership, and possible legal action for confidentiality abuse. Customers are agreeing to this condition when joining our website.
Initial website content, including but not limited to pictures and graphics of products and services available are subject to change without notice. Due to the nature of the dropshipping, wholesale supplier market, it is not possible to update our website description, and promotions on a daily basis, in conjunction with availability of products. Suppliers provided are also subject to change as are their terms and conditions of business, including but not limited to, products, delivery, timescales, and rates. Customers are also in agreement with this fact before deciding to join our website.
Product Promotion
UKDropshipGroup cannot, and do not accept any responsibility for any issues which arise due to the customer using our dropshipping facility. It is the customer's responsibility where they ultimately decide to promote our products. UKDropshipGroup are not an affiliate of any auction website, and do not directly encourage promotion to any particular auction venue.
It is also the customer's responsibility to seek out terms and conditions from their desired auction venue before deciding to promote our products accordingly on such a venue. If the mentioned auction website does not approve of dropshipping as a means of transaction, then UKDropshipGroup cannot and do not accept any liability for any complications which may, or may not occur as a result of using our dropshipping facility.
Website Access - Dropshipping Service
UKDropshipGroup cannot, and do not hold responsibility for any disruption in website access which is beyond our control, including (but not limited to) server breakdown, website viruses, power cuts or computer related problems.
UKDropshipGroup can also not be held responsible for lack of website access, due to staff shortages and staff holidays, in which it is not deemed possible to manage the website to full capacity.
All periods of website inactivity due to staff holidays will be made available to all customers one (1) month in advance - unless a customer joins our website after the period of inactivity has been announced. In this circumstance, whereby a new customer decides to join our website during, or just before the period of inactivity, then UKDropshipGroup cannot be held responsible for any lack of service offered during the above mentioned period.
Customers must be in full agreement to this before paying their fee for website/membership.
Website Purchase
Customers opting to purchase the Website option are agreeing to the following conditions of sale before proceeding:
Customers are accepting that up on purchase of the above mentioned packages, that the service will start immediately. Website creation will also start immediately. No refunds will be given to customers for membership, or the purchase of websites.
Customers purchasing websites may use their own domain name if they so wish. If you wish to use your own domain name, then it is the customer's responsibility to carry out all actions to ensure the domain name is pointing to the relevant name servers, to ensure correct function of the website concerned.
Any such hosting agreement entered into by the customer, will be for a minimum of 12 months. The customer acknowledges that the hosting is held with the following company: Online Web Traders. Customers are also acknowledging that the hosting payment is made directly to the hosting company: Online Web Traders immediately after the purchase of any Website Option. Customers are agreeing to this term before purchase.
UKDropshipGroup/UK Dropship cannot be held responsible for the images provided on the website templates. Image licenses change often, and therefore it is highly advisable that once your website is installed, that you commission, and locate your own header images for the templates you decide to use. UKDropshipgroup use a third-party for initial website imagery, and as mentioned licenses for images change, and therefore, we advise customers to select/purchase their own images for their templates of choice. UKDropshipGroup/UK Dropship will not be held responsible for any legal issues arising from images on templates, should matters with image licences arise after installation. It is the customer's responsibility to ensure all images on their template are licensed.
Once the payment of any Website Option has been made, the customer is then contracted and obliged to complete the website hosting application form with Online Web Traders. Failure to do so, will result in UK Dropship seeking to recover the initial funds paid to the hosting company to install the website files, which is instigated immediately after customer has made the payment for either Membership/Website Purchase. Customers are agreeing to this up on purchase of the mentioned product/service.
UKDropshipGroup/UK Dropship cannot be held responsible for any disruption in the website uptime (99.999%), or cannot be held responsible for any disruption to the following (but not limited to): Loss of business; loss of any revenue; loss of any custom, caused by internet related problems, such as (but not limited to) Acts of God; internet viruses; spyware, etc. UKDropshipgroup/UK Dropship can also not be held responsible for any loss of data, or loss of business should UK Dropship disassociate with Online Web Traders, the mentioned hosting company. Under such circumstances, we will at our discretion do all we can to ensure the product feeds to your website are not interrupted, although as the hosting of your website will be with a third-party company - which by accepting these conditions you will be deemed to have agreed with - this cannot be guaranteed.
The 60 minute website creation only applies when registering a new domain at the hosting, processing stage. If using your own domain name, then redirecting the name servers can take up to 24 hours to complete. Customers are also agreeing to a company copyright link being placed in a discreet area of the installed website.
60 Minute Website Set Up
If for any technical reason your website has not be installed inside the stated 60 minute set up time, then UKDropshipGroup cannot be liable for this, as the customer is accepting that from time to time, technical issues can prevent the immediate installation of the mentioned website. In these circumstances UKDropshipGroup, and all associated partners will install the website as quickly as possible.
Customers are accepting the above before purchase, and no refund of memberships/websites will be allocated on such issues.
Lifetime Membership
Life Membership to any website is only offered whilst the website owner continues to host their website with UKDropshipGroup, or their assigned hosting company. If hosting of the website is cancelled for any reason, then the lifetime membership will also expire.
Additional Product Ranges
Although UKDropshipGroup will offer customers individual product ranges to promote, either via their website or otherwise, customers are acknowledging the fact that in certain circumstances, and under conditions beyond our control, product ranges may be withdrawn at any time without notice. Such circumstances may include, but not limited to, our suppliers/manufacturers being unable to continue supply of certain products.
Under such circumstances, any monies paid for product ranges to be added to any website, will not be refunded. Customers are agreeing to these conditions before purchase of any Website option, or individual product XML feeds supplied by UKDropshipGroup.
If a particular product range has been withdrawn by the supply, then an alternative product range will be offered to the customer. No refund will be given.
SSL Website Set Up.
Please note, that if ordering an SSL certificate option for your website, this will be set up inside 5 working days from the date and time of order.
SSL Certificates purchased, will be installed inside 5 working days from ordering, excluding Bank Holiday, and National holidays.
Upgrades.
Customers wishing to upgrade their website to add additional product ranges are agreeing to the following: No refunds for any upgrades will be made under any circumstances. If a purchased product range becomes deleted in the future, then an alterative range will be offered. Any deleted ranges, or feeds supplied on this basis will not be refunded.
Product feeds purchased, will be installed inside 5 working days from ordering - which is a manual process, excluding Bank Holiday, and National holidays.
Termination.
All hosting contracts are for a minimum of 12 months. All cancellation requests must be made in writing to our registered office, giving one month notice. If the customer ends the contract inside the 12 month minimum cancellation period, then a cancellation charge of £29.95+VAT will apply.
Set up fees, and Hosting Costs
Customers will be offered a 50% discount as standard when completing the hosting application for any website purchase. If paying yearly in advance, a 50% discount will be applied to your payment.
Customers opting to pay hosting on a monthly basis, will also be automatically emailed the monthly hosting link, and the yearly savings link. If these links are not received inside 24 hours, possibly due to a spam filter, then please contact support to request resending of the email.
Domain Names
Free domain names, where advertised will ONLY be applied to customers paying hosting fees yearly in advance, which will result in a 50% hosting saving. If customers opt to use their own domain names, then the customer is responsible for changing and resetting the applicable Name Servers; details of which will be emailed to the customer immediately after hosting payment has been received. The 60 minute set up does not apply when customers are using their own domain name.
Adult Content Websites
For customers choosing to purchase the adult website business. It is the customer's responsibility to ensure that their payment merchant will accept payments for products of an adult nature. Although this is not generally a problem with Paypal, there are some products that Paypal will not accept payment for when promoting adult products. It is the responsibility of the customer to fully research their chosen merchant, as refunds cannot be made after purchase.
Lingerie Content Websites
For customers choosing a lingerie website, please note, that due to manufacturers restrictions, some lingerie products maybe not be available for sale on auction websites. Customers choosing the Lingerie Website Option will be doing so for website sales only. It is the responsibility of the customer ensure this is understood before the purchase of a Lingerie Website Business.
Rules For Online Conduct
By using the service, you agree that you will not attempt to undermine the integrity of this web site.
Customers also agree not to be abusive to any member of the UKDropshipGroup staff, and if found doing so, the result will be immediate cancellation of membership. Complaints must be made in the appropriate manner, and any defamatory communication against UKDropshipGroup, or in any public arena, will be dealt with by direct legal action against the parties/customer concerned.
Additionally
All websites purchased can only be hosted in association with UKdropshipgroup and may not be hosted on any other servers. You will also be required to agree with our Terms of Service, Acceptable Use Policy and Service Level Agreement.
Due to the nature of website hosting, all hosting will be on a recurring basis, as per the subscription details agreed to, and as per the termination procedure outlined in these trade terms. Failure to follow the termination/cancellation procedure will result in an automatic renewal of services.
All information provided about your website including suppliers is strictly for use by you and may not be passed to any third party without prior knowledge and written consent of UKdropshipgroup. By using our services, you agree that you will not attempt to undermine the integrity of UKdropshipgroup or provide information in a public arena that would undermine the integrity of UKdropshipgroup. Any such information if found will be required to be removed immediately or direct legal action against the parties/customer concerned will follow.
Product Ranges: supplied by UKdropshipgroup must not, under any circumstances be used to populate websites with the intention of the websites being resold, or given away. If it is found that our ranges, or supplier ranges are used in this way, immediate termination of the customer's services will follow, and action taken. Additionally, UKdropshipgroup do not permit our product feeds to be used on any other servers/websites, other than the websites/servers owned by UKdropshipgroup, or associated companies assigned by UKDropshipgroup.
Limitation Of Liability And Warranty
CUSTOMER AGREES THAT USE OF THE SERVICE IS ENTIRELY AT CUSTOMER'S OWN RISK. SERVICES ARE PROVIDED 'AS IS,' WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY FOR INFORMATION, SERVICES, UNINTERRUPTED ACCESS, OR PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE SERVICE, INCLUDING WITHOUT LIMITATION THE SOFTWARE LICENSED TO THE CUSTOMER AND THE RESULTS OBTAINED THROUGH THE SERVICE. SPECIFICALLY, WE DISCLAIM ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMITATION: 1) ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY OR CONTENT OF INFORMATION, PRODUCTS OR SERVICES; AND 2) ANY WARRANTIES OF TITLE OR WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
THIS DISCLAIMER OF LIABILITY APPLIES TO ANY/ALL DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORTUOUS BEHAVIOUR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. CUSTOMER SPECIFICALLY ACKNOWLEDGES THE SERVICE IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER CUSTOMERS OR THIRD-PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH CUSTOMER.
NEITHER THE SERVICE NOR ANY OF ITS AGENTS, AFFILIATES OR CONTENT PROVIDERS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF USE OF THE SERVICE OR INABILITY TO GAIN ACCESS TO OR USE THE SERVICE OR OUT OF ANY BREACH OF ANY WARRANTY. CUSTOMER HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON THE SERVICE.
